Document Submission

Introduction

Electronic services for submission of applications for incorporation of local companies, applications for registration of non-Hong Kong companies, specified forms and other documents under the Companies Ordinance and the Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap. 32) are available at the e-Filing Services of the e-Services Portal.  Web forms will be provided for completion online and the “drafts” can be saved at the e-Services Portal for subsequent review and update before submission.

To provide our customers with a convenient and integrated service, the e-Services Portal also serves as a one-stop platform for company and business registration whereby any online application for incorporation of a local company or application for registration of a non-Hong Kong company will be deemed to be an application for business registration simultaneously.  Moreover, upon submission of a Notice of Change of Address of Registered Office (e-Form NR1), an optional electronic one-stop notification service is also available for a local company to report the change of registered office address also as a change of business address to the Inland Revenue Department.

The e-Filing functions for making applications for incorporation of local companies and registration of non-Hong Kong companies will be provided on a dedicated page for easy access by frequent users. Users may save the completed electronic incorporation form at the e-Services Portal as a template for subsequent submissions of similar applications for incorporations in future.  

Registered users can submit documents individually or in bulk online through the e-Services Portal.

Electronic submission services are also available at the e-Services Portal for certain documents required to be delivered to the Registrar of Companies (“Registrar”) under the following Ordinances :

- Trustee Ordinance (Cap. 29);
- Limited Partnerships Ordinance (Cap. 37);
- Registered Trustees Incorporation Ordinance (Cap. 306);  
- Securities and Futures Ordinance (Cap. 571) (relating to Open-ended Fund companies); and
- Limited Partnership Fund Ordinance (Cap. 637).

Requirements for Documents Delivered in Electronic Form to the Registrar of Companies for Registration

Electronic submission services for documents delivered under various Ordinances administered by the Registrar as listed below are provided through the e-Filing Services under the e-Services Portal of the Companies Registry at www.e-services.cr.gov.hk:-

(i) Companies Ordinance (Chapter 622)
(ii) Companies (Winding Up and Miscellaneous Provisions) Ordinance (Chapter 32) - except for sections 38D and 342C
(iii) Trustee Ordinance (Chapter 29)
(iv) Limited Partnerships Ordinance (Chapter 37)
(v) Registered Trustees Incorporation Ordinance (Chapter 306)
(vi) Securities and Futures (Open-ended Fund Companies) Rules (Chapter 571AQ)
(vii) Limited Partnership Fund Ordinance (Chapter 637)

e-Submission of Documents under Miscellaneous Ordinances

The Companies Registry accepts electronic submission of documents or applications under the ordinances as set out in the “List of Ordinances”.  Such electronic documents can be delivered to the Registry through the following means :

(i) Deliver through the e-Services Portal; or

(ii) Send email to crmail@cr.gov.hk; or

(iii) Deliver the relevant CD-ROM or DVD-ROM in person or by post to 14th floor, Queensway Government Offices, 66 Queensway, Hong Kong.
