Delivery of Annual Returns under the Companies Ordinance
Every company is required to deliver annual returns to the Registrar of Companies for registration.
Delivery of annual return by a public company or a guarantee company in respect of the company’s financial year that begins on or after 3 March 2014 must comply with the new requirements under the new Companies Ordinance (Cap. 622). Please refer to the information pamphlet on “Annual Return of a Local Public Company or a Company Limited by Guarantee”for details.
There is no change in the requirement for a private company to deliver annual returns. Please refer to the information pamphlet on “Annual Return of a Local Private Company” for details.
Please note:- Substantially higher registration fees are payable for late delivery of annual returns.

New Licensing Regime for Trust or Company Service Providers and Keeping of Significant Controllers Registers by Companies
With effect from 1 March 2018, a new licensing regime for trust or company service providers has come into operation. Any person who carries on or wishes to carry on a trust or company service business in Hong Kong is required to apply for a licence from the Registrar of Companies. In addition, the new requirement for companies to ascertain and maintain up-to-date information on beneficial ownership by way of keeping a Significant Controllers Register was implemented on the same day.

Deliver incorporation applications electronically by using our electronic incorporation service at "e-Registry" (http://www.eregistry.gov.hk) or "CR eFiling" mobile application. For straight-forward cases, the electronic certificates of incorporation and business registration certificates can be issued within one hour.
Deliver specified forms and related documents required for registration electronically at "e-Registry".

Closure of Office Premises and Suspension of Services at Queensway Government Offices
As physical access to the Queensway Government Offices (QGO) is not possible, the provision of the Companies Registry's public services at its office premises in the QGO [has been / will be] suspended and the office premises [has been / will be] closed with effect from XX June 2019.
Notwithstanding the closure of office, the Registry will continue to provide its major services electronically. You can continue to access our major services by the following means:-

Resumption of Services at Queensway Government Offices
With effect from XX June 2019, the Companies Registry's public services provided at the Queensway Government Offices [will resume/has resumed] normal.
The Registry anticipates that there will be an upsurge of incorporation applications and documents delivered for registration upon the resumption of services. We envisage that this will have a significant impact on the services delivered by the Registry and may entail longer queuing time for document submissions and longer processing time for incorporation applications.
While the Registry will redeploy resources to maintain service as far as practicable, it is possible that we may not be able to meet the performance pledges for our services for the time being.
In this connection, we would strongly recommend that you consider adopting the following measures:-
- Deliver incorporation applications electronically by using our electronic incorporation service at "e-Registry" (www.eregistry.gov.hk) or "CR eFiling" mobile application. For straight-forward cases, the electronic certificates of incorporation and business registration certificates can be issued within one hour.
- Deliver specified forms and related documents required for registration electronically at "e-Registry".
- Deliver the commonly used specified forms (e.g. annual returns) electronically at "CR eFiling" mobile application.
- For applications / documents delivered in hard copy form, make sufficient allowance for the time for processing.
