I understand that a "One-stop notification of change of company particulars" service has been implemented. What types of changes of company particulars are covered by this one-stop notification service?

 
Answer:

The "One-stop notification of change of company particulars" service covers the following changes of company particulars of local companies:

-change of company name under section 22 of the Companies Ordinance
-change of address of registered office under section 92 of the Companies Ordinance

After the related notification of change of company particulars is registered or recorded under the Companies Ordinance, the Companies Registry will transmit relevant particulars to the Inland Revenue Department pursuant to section 8(2B) of the Business Registration Ordinance. Upon the registration of the relevant notification, the company is deemed to have notified the Commissioner of Inland Revenue of the relevant change under the Business Registration Ordinance.

Answer:

The Companies Registry will transmit the new company name to the Business Registration Office of the Inland Revenue Department after the "Certificate of Change of Name" is issued pursuant to section 8(2B) of the Business Registration Ordinance. Normally, the Business Registration Office will automatically send out the amended Business Registration Certificate and amended Branch Registration Certificate(s) by post on the next working day following the date of "Certificate of Change of Name" of the company concerned. Companies whose "Certificates of Change of Name" were issued by the Companies Registry on or before 12 October 2011 are still required to notify the Business Registration Office in writing or by completing a Form IRC3110A (pdf format) of the Inland Revenue Department to amend their Branch Registration Certificates.

Information relating to business address of a company is not required to be reported to the Companies Registry under the Companies Ordinance. You should notify the Business Registration Office direct of the change of business address of your company.

Answer:

Yes. You should notify the Business Registration Office of the change of business address within one month from the date of change by submitting a written notification or a completed Form IRC3111A (pdf format).

The Companies Registry and the Inland Revenue Department (IRD) have jointly introduced an OPTIONAL ELECTRONIC one-stop notification service at the e-Registry for a company to report the change of registered office address also as a change of business address on its Business Registration Certificate. By using this electronic service, you may request the Registrar of Companies to notify the Commissioner of Inland Revenue on your behalf that the business address of your company as registered under the Business Registration Ordinance (Chapter 310 of the Laws of Hong Kong) has changed to the new address of your registered office with effect from the effective date of change as stated in the electronic Form R1.

Normally, the IRD will send out your amended Business Registration Certificate by post on the next working day after registration of the electronic Form R1 by the Companies Registry.

The definitions of 'registered office address' and 'place of business' under the Companies Ordinance and the Business Registration Ordinance respectively are not the same. The ‘registered office address’ of a company may not necessarily be the place where the company carries on its business. The Business Registration Office will not update the business address of a company in the business register after receiving information of a new registered office address of the company from the Companies Registry. You should notify the Business Registration Office of the change of business address within one month from the date of change by submitting a written notification or a completed Form IRC3111A (pdf format) for the issue of an amended Business Registration Certificate showing the updated business address.

Yes. All local companies incorporated and registered under the one-stop company incorporation and business registration regime are required to notify the Business Registration Office in writing of their business particulars within one month of the date of commencement of their businesses. The business particulars concerned include business name, description and nature of business, business address and date of commencement of business. The relevant notifications can be made by a letter or by completing a Form IRBR200 (pdf format) .
