Best Counter Staff Contest 2018-19
(5 November 2018)

The Companies Registry is organising the Best Counter Staff Contest 2018-19 to encourage courtesy and efficiency in the delivery of service and compliment counter staff for their excellent performance. During the voting days from 19 to 21 November 2018, customers visiting the Companies Registry’s offices are welcome to vote for the best counter staff on the basis of individual staff’s performance.

Results of the contest will be announced in mid - December 2018.

Company convicted of carrying on company service business without a licence
(30 October 2018)

A Hong Kong company was prosecuted by the Companies Registry under sections 53F(1) and (2) of the Anti-Money Laundering and Counter-Terrorist Financing Ordinance for carrying on company service business without a licence. The Company pleaded guilty and was fined a total of $50,000 for the charges. The Company was also disqualified from holding a licence for 6 months. Company director convicted for giving false or misleading information to Companies Registry
(24 October 2018)

A director of a Hong Kong company was prosecuted by the Companies Registry under section 750(6) of the Companies Ordinance for knowingly or recklessly giving false or misleading information to the Registrar of Companies in connection with an application for deregistration of the Company. The director pleaded guilty and was fined $15,000 for the charge. Please refer to the press release issued on October 24 for details.

Translation and Certification of Documents under the Companies Ordinance (Cap. 622)
(12 October 2018)

Sections 4 and 775 of the Companies Ordinance (Cap. 622) (“CO”) set out respectively the requirements for translating documents for the purposes of the CO and for certifying documents for the purposes of Part 16 of the CO.

The Companies Registry has issued an External Circular to clarify the definition of “professional accountants” and “professional company secretaries” referred to in the above two provisions. For details, please refer to Companies Registry External Circular No. 5/2018.

Removal of Page Limit for Downloading Image Records of Documents
(24 September 2018)

With immediate effect, the page limit for downloading image records of documents is removed. Customers can now download image records of documents of any page numbers via our Cyber Search Centre and Company Search Mobile Service anytime, anywhere.

Guideline on Compliance of Anti-Money Laundering and Counter-Terrorist Financing Requirements for Licensed Money Lenders
(21 September 2018)

As part of the Government’s efforts to enhance the regulatory regime for combating money laundering and terrorist financing, the Companies Registry has today issued a "Guideline on Compliance of Anti-Money Laundering and Counter-Terrorist Financing Requirements for Licensed Money Lenders". The new Guideline seeks to provide guidance to licensed money lenders on the implementation of effective measures to mitigate the risks of money laundering and terrorist financing.

Upsurge of Specified Forms Reporting Changes of Company Secretaries and Registered Offices
(19 September 2018)

Since early September 2018, a large number of specified forms reporting the changes of company secretaries and registered office addresses were delivered to this Registry for registration. We envisage that the upsurge of these specified forms will continue in the coming months. We have already deployed additional resources to maintain a quality service as far as practicable. However, it is possible that we are not able to meet the performance pledges for our services at times of huge influx of documents. Please refer to the suggested measures for delivery of specified forms to the Registry.

A new regime for open-ended fund companies (“OFC”) commences operation today.

The OFC regime allows investment funds to be set up in the form of a company, but with the flexibility for investors to trade the funds through the creation and cancellation of shares.

(25 May 2018)

The Companies Registry welcomes the 200,000th registered user of its e-Registry portal. As a registered user, one can use our electronic services for company incorporation and submission of specified forms round the clock. Registered users can also submit commonly filed forms, including annual returns, via the “CR eFiling” free mobile application.

A New Licensing Regime for Trust or Company Service Providers commences operation
(1 March 2018)

A new licensing regime for trust or company service providers (“TCSPs”) commences operation today.

Under the new licensing regime, TCSPs are required to apply for a licence from the Registrar of Companies and satisfy a “fit-and-proper” test before they can provide trust or company services as a business in Hong Kong. Any person who carries on a trust or company service business in Hong Kong without a licence commits an offence. TCSP licensees are also required to comply with the statutory customer due diligence and record-keeping requirements as set out in Schedule 2 to the Anti-Money Laundering and Counter-Terrorist Financing Ordinance, Cap. 615.

Applications for TCSP licences can be sent by mail or delivered to a new Registry, the Registry for Trust and Company Service Providers, at Kowloon Bay or made online at www.tcsp.cr.gov.hk.

Commencement of Operation of the Companies (Amendment) Ordinance 2018
Keeping of Significant Controllers Registers by Companies
(25 January 2018)

The Companies (Amendment) Ordinance 2018 (“the Amendment Ordinance”) will come into operation on 1 March 2018.

The Amendment Ordinance introduces new requirements on the keeping of significant controllers registers by companies incorporated in Hong Kong to enhance the transparency of corporate beneficial ownership.

A dedicated hotline 3142 2822 has also been set up for handling enquiries relating to the new requirements. The hotline operates from Monday to Friday 9:00 a.m. to 8:00 p.m. and on Saturday 9:00 a.m. to 1:00 p.m. (excluding public holidays). Email enquiries can be sent to cr.scr@cr.gov.hk.

The Best Service Award is organised to assess the level of customer satisfaction with our services. The Award for this year was presented to the New Companies Section in recognition of its efforts in providing service on “Registration of new local company (delivery in electronic form)”, which obtained the highest satisfaction score in our Customer Service Survey conducted this year.
