Do I need to notify the Registrar of Companies of any changes in the directors, shareholders or other registered particulars after I have been granted with a money lender's licence? Are there any forms for reporting the changes and when should such changes be reported?

 
Answer:

Where there is a change in the registered particulars of the licensee, a notice is required to be given to the Registrar of Companies (performing the role of Registrar of Money Lenders) in writing within 21 days after the change. There is no prescribed / specified forms for reporting the changes. You can send a letter to the Money Lenders Unit of the Companies Registry and a copy to the Commissioner of Police (Licensing Office) to report the changes.

You can conduct a search (free of charge) on the "List of Money Lenders Licensees and Applicants for Money Lenders Licence" at the Money Lenders Unit of the Companies Registry at the 29/F, Queensway Government Offices, Hong Kong. Photocopies of the List can be obtained at HK$ 6 per page. The List is also available at this website under "Our Services - Licensing of Money Lenders" section.

You can inspect the registered particulars of a licensed money lender at the Money Lenders Unit of the Companies Registry at the 29/F, Queensway Government Offices, Hong Kong upon payment of a fee of HK$17. Photocopies can be obtained at HK$ 6 per page.

I have already filed a Form ND2A/ND2B with the Companies Registry reporting the changes in directors, why do I have to notify the Money Lenders Unit again?

 
Answer:

A licensed money lender is required to comply with the obligations to report changes of registered particulars under the Money Lenders Ordinance (Chapter 163 of the Laws of Hong Kong). For a licensed money lender who is a company, it is required to deliver Form ND2A/ND2B to report changes of directors in accordance with the requirements of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

What is the consequences of failing to notify the Registrar of Companies any change in the registered particulars ?

 
Answer:

It is an offence if a licensed money lender fails to notify the Registrar of Companies (performing the role of Registrar of Money Lenders) of any change in its registered particulars within the prescribed time period. The offender is liable to a fine of HK$100,000 and to imprisonment for 2 years, if convicted.
