Where can I obtain the forms specified under the Companies Ordinance?

 
Answer:

You may download the requisite specified forms free of charge from the 'Public Forms' - 'Specified Form' section of this website. Specified forms can also be purchased at the Shroff Counters of the Companies Registry, 14th floor, Queensway Government Offices, 66 Queensway, Hong Kong.

Who should sign the specified forms?

 
Answer:

Each specified form indicates who may sign the form. In most cases, the director or the secretary of the company may sign the forms submitted to the Companies Registry. For non-Hong Kong companies registered under Part XI of the Companies Ordinance, the authorized representative may also sign certain forms.

Can a resigned officer sign the specified forms?

 
Answer:

The specified forms should always be signed by the serving officers of a company. If it comes to light that some forms which need to be delivered to the Registrar of Companies have not been filed, the current serving officers may sign the forms. A resigning officer may sign a Form D2A reporting his resignation as long as the date on which the form was signed is not later than the date of his resignation.

Can I take out some blank pages from the specified forms before submission if these pages are not applicable?

 
Answer:

The Companies Registry's specified forms should not be altered or amended. Please submit the specified forms in their complete format including all the pages with items that do not apply. These pages should also be completed, for example, by stating the company number and 'NIL' or 'N.A.' in the first box for entering information. Un-used continuation sheets and the 'Notes for Completion' should be detached before submission.

Is it compulsory to complete the box for 'Presentor's Reference' on the first page of each form ?

 
Answer:

Except for Forms NC1, NC1G, NC2, M1, M2, N1 and N10, it is not compulsory to complete the box for 'Presentor's Reference'. However, particulars of the presentor, if provided, will facilitate communication between the Companies Registry and the presentor of the form. If such information is not given, correspondence will be sent to the registered office of the company if clarification or amendment of the form is required.

Answer:

No. It is up to the presentor to decide whether or not to provide such information.
